Mr. Dorff is engaged in a general corporate and commercial practise and focuses on complex international and cross-border transactions. He represents both publicly traded and privately held US, UK and European businesses in a broad range of matters, including public and private capital raising transactions, mergers and acquisitions, licensing transactions, joint ventures and other commercial and financial transactions.
As part of Brown Rudnick’s Cleantech Team, Mr. Dorff is also part of collaborative, cross-disciplinary initiatives to assist clients in this evolving sector.
Mr. Dorff also works with the Bankruptcy and Corporate Restructuring Group on corporate aspects of insolvency, restructuring and distressed situations and transactions.
Mr. Dorff is qualified as a US lawyer and as an English solicitor and is based in Brown Rudnick’s London Office.
Representative Transactions
• Represented both investors and investee companies in connection with numerous venture capital and private equity investments in the US, the UK and across Europe.
• Negotiated on behalf of both buyers and sellers on numerous cross-border M&A transactions involving the acquisition or sale of companies in the US, the UK and across Europe.
• Advised several publicly traded European companies with NASDAQ listings and/or ADR facilities in the US on a broad range of US securities law matters, including Sarbanes-Oxley compliance and related matters.
• Represented numerous European companies and investment banks on US aspects of global securities offerings including in connection with Rule 144A private placements in the United States.
• Advised several US companies in connection with public offerings and listings on the Alternative Investment Market (AIM) of the London Stock Exchange.
• Structured a broad range of complex licensing and strategic partnership transactions in the US, the UK and across Europe on behalf of numerous international technology businesses.
