Ms. Van de Graaff has an international practice encompassing a broad range of finance, distressed and insolvency situations. She represents hedge funds, corporations, investment banks and other financial institutions that are active in the structured finance, distressed and restructuring markets. Her experience spans structured, project, corporate, acquisition and leveraged finance, structured products, as well as corporate debt restructuring, refinancings and workouts.
Prior to joining Brown Rudnick, Ms. Van de Graaff was Managing Director Principal and Solicitor with Bear, Stearns International Limited in London, prior to which she was in the project finance team at Allen & Overy.
Representative Matters
Ms. Van de Graaff has advised clients in the following areas:
• Contentious matters in relation to total return swaps, credit default swap positions and structured note programs (including assisting in calculations on early termination)
• Successfully defending in the High Court a client’s position in an RMBS transaction
• Advising on structured finance components of a client’s nationalised investment
• Assisting in derivative (and other assets) claims purchases in the insolvent estate of Lehman Brothers’ entities
• Pre-investment due diligence credit reviews in leveraged loans and structured finance note investments (with a view to loan to own strategy and/or restructuring the transaction)
• Re-negotiating prime brokerage agreements, margin lending agreements and representing clients in their change of custodian bank and prime broker
• Advising on European aspects of the Lyondell insolvency
• Special situations including European private equity investments and restructurings for distressed and insolvency related situations
• Negotiating and drafting acquisition financings
• CMBS and RMBS including all aspects (origination, warehousing, securitization phase and servicing (including US style mezzanine and A and B notes))
• Other asset securitizations in UK and Europe
• Par and distressed loan trading
• Distressed consumer credit portfolio purchases
• Private placements in multi-jurisdictions including structured bonds and loans
• Structured equity-linked deposit arrangements
• Treasury funding
