Ms. Marinelli focuses her practice primarily on corporate, transactional and securities law. She assists companies in formation and venture capital financing transactions. She also represents both public and private companies in a variety of transactions and advises clients on matters of SEC reporting compliance and issues of corporate governance.
Prior to attending law school, Ms. Marinelli was an auditor at Deloitte & Touche in Boston. She specialized in financial services and developed audit testing templates for mutual fund clients.
Representative Matters
• Conducted due diligence on material agreements and executive compensation matters in connection with public and private mergers (including a $6.2 billion public-to-public merger) and acquisitions of capital stock and assets.
• Implemented corporate restructuring plan of an industrial/environmental services company to convert over 30 subsidiary corporations to limited liability companies; analyzed effect of restructuring on existing credit facility and drafted related corporate and financing documents.
• Negotiated share pledge agreements with foreign counsel in connection with a $2.55 billion secured financing for a global leader in women’s healthcare.
• Represented technology company in a registered direct shelf-takedown and concurrent private placement of common stock and warrants to purchase common stock for total gross proceeds to the company of $8 million.
