Biography

Mr. Roy is a member of Brown Rudnick’s Corporate Department, and is the Chair of the India Practice Group. He divides his time between the firm’s New York and Boston offices.

Mr. Roy concentrates his practice on domestic and cross-border mergers and acquisitions, corporate finance, venture capital and licensing and strategic relationships. He counsels publicly and privately held Indian and US corporations in a variety of industries including businesses in the information technology, communications, energy and other emerging growth sectors. In the information technology sector (hardware, software and services), Mr. Roy is particularly active in innovative, business-critical deals and strategic alliances. He represents both users and providers in complex transactions involving the licensing, development and procurement of technology, the licensing and distribution of content, and domestic and international outsourcing arrangements.

As part of Brown Rudnick’s Cleantech Team, Mr. Roy is also part of collaborative, cross-disciplinary initiatives to assist clients in this evolving sector.

Mr. Roy also has significant experience practicing law in India, as a former partner at a leading Indian law firm, where he established and led their Technology and Outsourcing Practice Group.

Representative Matters
• Representing a leading Indian energy and telecommunications company in its operations in the United States and the European Union, including various acquisitions and strategic alliances.

• Represented a major US billing, customer and employee care service provider in establishing its various facilities in India.

• Represented a major financial institution in providing credit card processing, call center, and IT outsourcing services to a Chinese bank in connection with the roll-out of a co branded retailer credit card in China.

• Represented a “Big 4” accounting firm in a large-scale technology procurement and licensing transaction.

• Represented one of the largest investment and insurance companies based in the United States, in a series of international and domestic outsourcing arrangements.

• Represented an Indian mobile-telephony company in its acquisition by a Taiwanese corporation.

• Represented Indian IT and BPO vendors in various information technology services and development transactions.
