Mr. Laudano is a partner in the Capital Markets, Finance and Real Estate Groups. He represents financial institutions, investors, funds, developers and tenants in negotiating acquisitions, sales, financing transactions and workouts, partnerships, joint venture agreements and leases.
Mr. Laudano is also experienced in loan workouts and corporate restructurings, both in and out of bankruptcy.
Representative Matters
• Representing an ad hoc committee of holders of $1.55 billion exchangeable notes, and other parties, in the Chapter 11 proceedings of General Growth Properties, Inc.
• Counsel to a top-five, national retail anchor in connection with the acquisition and development of dozens of sites located in five states. This representation has included ground leasing, commercial condominiums, land sales, subleases, the prosecution of land use and title disputes and litigation.
• Counsel to equity investor in connection with the acquisition, financing and development of a $60 million condominium property.
• Representation of a joint venture partner in the restructuring and sale of a $175 million office park.
• Representation of a national financial institution in connection with its restructuring of $120+ million in secured financing.
• Representation of a publicly held company in connection with a $200+ million financing of real estate holdings in three states.
• Tenant’s counsel to a national bank on a CBD office and retail lease.
• Counsel to an international REIT in connection with acquisition, land use permitting and municipal law matters for the redevelopment of several regional malls.
• Counsel to the developer of a 120-unit apartment complex and other improvements in connection with the closing of its construction loan facility.
• Representation of the owner of several nursing home and assisted living facilities relative to the disposition of the owner’s assets.
